Beginning in 2024, the Credit Union underwent a review of its By-laws to align with updated business practices, regulations, and policy updates. The Board of Directors worked closely with a governance consultant and with the Credit Union’s legal counsel, Torys LLP, to identify areas requiring change, and the Board has thoroughly reviewed all of the proposed changes being presented for approval. Many of the changes were administrative in nature, including updating policy names, correcting grammatical errors and ensuring all sections were numbered correctly. However, for changes that were more significant in nature, a high-level summary has been included for the membership’s reference, along with a copy of the full set of By-laws.

On February 4, 2026, the Board of Directors formally recommended the revised by-laws to the membership. As a result, we now bring the document forward to the members for a vote.

In accordance with the Credit Unions and Caisses Populaires Act, financial statements, reports of the audit committee, and the auditor’s report will be available upon request at any PenFinancial Credit Union location beginning April 2, 2026. Voting for the Special Resolution to approve amended by-laws will begin on March 9, 2026 and end on March 20, 2026. Voting may be completed through Online Banking or in person at any PenFinancial branch. The full Annual Report, a report on Board gender diversity, and the results of the By-Law Special Resolution will be presented at the AGM on April 14, 2026.
